Welcome to PHOROS.ai. These Terms of Service ("Terms") govern your use of the PHOROS.ai platform and services. By accessing or using our platform, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you may not use our services.

1. Introduction

PHOROS.ai (the "Platform") is a comprehensive suite of solutions designed to optimize resource management and operational systems for businesses. Our services include management, commerce, finance, storage, technology, communications, and artificial intelligence solutions.

2. Eligibility

By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind the organization to these Terms.

3. Account Registration

To access certain features of the Platform, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Use of the Platform

You agree to use the Platform in compliance with all applicable laws and regulations. You shall not:

Use the Platform for any unlawful purpose or in any manner that could damage, disable, overburden, or impair the Platform.
Interfere with the security of, or otherwise abuse, the Platform, its resources, or any services provided by the Platform.
Attempt to gain unauthorized access to any portion of the Platform or any other systems or networks connected to the Platform.
Use any automated means to access the Platform for any purpose without our express written permission.

5. Services Provided

The Platform offers a range of services, including but not limited to:

Management: Calendar and to-do list tools for scheduling and task management.
Commerce: Inventory management, point-of-sale systems, and e-commerce solutions.
Finance: Accounting and payroll management tools.
Storage: Form builder, file storage using AWS, and data storage using MongoDB.
Technology: Web domain purchase and management, application development and hosting, and API creation using VM2.
Communications: Email management, virtual phone line services, unified communication agents, and virtual meetings using Voxeet.
Artificial Intelligence: Automated to-do list prioritization, predictive inventory management, AI-enhanced point-of-sale systems, personalized e-commerce recommendations, automated accounting assistance, AI-based API creation and management, AI-assisted application development, AI-enhanced email management, smart virtual phone line services, and AI-driven virtual meeting enhancements.

6. Fees and Payment

Access to certain features of the Platform may require payment of fees. All fees are non-refundable except as required by law. You agree to provide accurate and complete billing information and authorize us to charge the applicable fees to your designated payment method.

7. Intellectual Property

All content, trademarks, service marks, trade names, logos, and intellectual property on the Platform are the property of PHOROS.ai or its licensors. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for your internal business purposes. You may not use, reproduce, modify, or distribute any content from the Platform without our prior written consent.

8. Confidentiality

You agree to maintain the confidentiality of any non-public information that you obtain through the Platform. You shall not disclose such information to any third party without our prior written consent.

9. Data Security and Privacy

We are committed to protecting your data and ensuring compliance with applicable data protection laws. Our use of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference. You agree to our collection, use, and sharing of your data as described in the Privacy Policy.

10. Termination

We may terminate or suspend your access to the Platform at any time, with or without cause, with or without notice, effective immediately. Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the Platform, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the Platform will be uninterrupted, secure, or error-free.

12. Limitation of Liability

To the fullest extent permitted by law, PHOROS.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the Platform; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Platform; or (d) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Platform.

13. Indemnification

You agree to indemnify, defend, and hold harmless PHOROS.ai, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which PHOROS.ai is headquartered, without regard to its conflict of law principles. Any disputes arising out of or in connection with these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the jurisdiction in which PHOROS.ai is headquartered, and the language of the arbitration shall be English.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will provide notice to you through the Platform or by other means. Your continued use of the Platform after such notice constitutes your acceptance of the modified Terms.
